Terms of Service

1. Agreement to Terms

By accessing or using As a List ("App"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, then you may not access the App. These Terms apply to all visitors, users, and others who access or use the Service.

2. User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. Subscriptions & In-App Purchases

As a List offers optional premium subscription plans ("Asalist Pro") that provide additional features.

Subscription Terms:

• Subscriptions are billed on a recurring basis (monthly or annually) through your Apple App Store or Google Play Store account.
• Payment is charged to your App Store/Play Store account at confirmation of purchase.
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period at the same price.

Free Trial:

• If offered, the free trial period lasts for the duration specified at sign-up.
• If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription.
• Any unused portion of a free trial will be forfeited when you purchase a subscription.

Cancellation:

• You may cancel your subscription at any time through your device settings:
  • iOS: Settings → Apple ID → Subscriptions
  • Android: Play Store → Subscriptions
• Cancellation takes effect at the end of the current billing period. You will retain access to premium features until then.
• We do not provide refunds for partial billing periods.

Refunds:

• Refund requests must be directed to Apple (for iOS) or Google (for Android) in accordance with their respective refund policies.

4. Advertising

The free tier of our Service may display advertisements powered by Google AdMob. By using the free tier, you acknowledge that ads may be displayed within the App.

• Premium subscribers will not see advertisements.
• We may use device identifiers (with your consent, where required) to personalise advertisements.
• You can manage your ad tracking preferences through your device settings.

5. Behavioral Analytics

We may collect anonymous usage analytics to improve the App. Analytics are disabled by default and only activated with your explicit consent.

• Opt-in only: You choose whether to allow analytics via an in-app prompt or the Settings menu.
• Opt-out anytime: You can disable analytics at any time from Settings → Privacy & Account → Usage Analytics.
• Data erasure: When you disable analytics, all previously collected data is permanently deleted. Your data is also purged when you delete your account.
• No personal data: Analytics events are anonymous and do not include your name, email, lists, or other personal content.

6. Intellectual Property Rights

Unless otherwise indicated, the App is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the App (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

7. User Generated Content (UGC)

Our App allows you to create, store, share, and make available lists, tasks, comments, and other materials ("User Content").

• Ownership: You retain ownership of any intellectual property rights that you hold in that User Content.
• License: By posting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of (including for the purpose of training our internal algorithms and AI models), display, and perform that User Content in connection with the App and related services.
• Web Accessibility: Public lists may be made available via web URLs and may generate social media preview cards (Open Graph images). Public content may be indexed by search engines. You can control visibility by setting your lists to private.
• Remix & Share: You understand and agree that if you make your User Content public, other users may view, share, copy, and create derivative works ("remix") from your content within the App or via shared web links.
• Responsibility: You are solely responsible for your User Content and the consequences of posting or publishing it.

8. AI-Powered Features

The App provides optional AI-powered features including automatic translation, text correction, and AI-assisted list creation.

• Content Processing: When you use AI features, your content is sent to third-party AI providers (such as Google Gemini) for real-time processing. Content is not stored by these providers beyond the processing session.
• AI-Generated Content: Content generated by AI features (e.g., AI-created lists) is provided "as is" without warranty of accuracy or completeness. You are responsible for reviewing and verifying AI-generated content before publishing.
• Intellectual Property: AI-generated content created through the App using your prompts is treated as your User Content and subject to the same license terms above.
• Opt-Out: AI features are always opt-in. Your content is never sent to AI providers unless you explicitly trigger an AI action.
• Private Content: Private lists are never processed by AI unless you specifically request an AI feature on that content.

9. Prohibited Activities & Content

You agree not to use the App to create, upload, or share any content that:

• Is illegal, threatening, defamatory, abusive, harassing, degrading, intimidating, fraudulent, deceptive, invasive, racist, or contains any type of suggestive, inappropriate, or explicit language.
• Infringes on any trademark, patent, trade secret, copyright, or other proprietary right of any party.
• Contains unauthorized or unsolicited advertising, junk or bulk email (also known as "spamming").
• Impersonates any person or entity, including any of our employees or representatives.

We have zero tolerance for objectionable content or abusive users.

10. Content Moderation & Termination

We have the right (but not the obligation) to monitor and edit all User Content. We reserve the right to remove any Content that violates these Terms or is otherwise objectionable at our sole discretion.

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, if you breach the Terms, including posting prohibited content. Upon termination, your right to use the Service will immediately cease.

11. DMCA Copyright Policy

We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on the Service infringes the copyright or other intellectual property infringement of any person.

If you are a copyright owner, or authorized on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place through the Service, you must submit your notice in writing to support@asalist.com.

12. Disclaimer and Limitation of Liability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties of any kind, whether express or implied. In no event shall As a List be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service or any User Content.

13. Indemnification

You agree to defend, indemnify, and hold harmless As a List and its officers, directors, employees, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to legal fees) arising from:

• Your use of and access to the Service.
• Your violation of any term of these Terms.
• Your violation of any third party right, including without limitation any copyright, property, or privacy right.
• Any claim that your User Content caused damage to a third party.

14. Dispute Resolution & Governing Law

These Terms shall be governed and construed in accordance with the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts located in the United Kingdom for resolution of any disputes.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect by sending an email to the address associated with your account or by displaying a prominent notice within the App. Your continued use of the Service after the effective date of any changes constitutes acceptance of those changes.
